Terms and Conditions

These Terms and Conditions apply to all contracts between China Quotes ("China Quotes") and every customer (the "Customer") for the supply of Services via the www.china-quotes.com website (the "Site").
 
Definitions
 

"Agreement"

means these Terms and Conditions and Acceptance Notice;

"Acceptance Notice"

means China Quotes' emailed acceptance of an order placed by the Customer with China Quotes

"Commencement Date"

means the date on which the Services shall commence, as set out in the Acceptance Notice

"Customer"

means any person, including a business, placing an order with China Quotes

"Site "

means the website at http://www.china-quotes.com

“Terms and conditions”

Means these terms and conditions

Headings in these Terms and Conditions are for convenience only and will have no legal meaning or effect.

1.    Contract Formation

·    The Customer may place an order for an Advert or Directory Listing with China Quotes through our sales team. The Customer must ensure that the terms of the order are complete and accurate.

·      China Quotes reserves the right to reject an order for any reason.

2.    Refund policy

·      Once an entry is confirmed by a firm any cancellations must be received with 14 days. After this time the Customer may request for their factory to be removed from the Directory, but no refunds will be made. No refund or credit will be given for cancellations received after an advertisement or directory listing has appeared.

3.    Payment terms

·      Adverts (featured on the home page or search results) are charged for on a monthly basis, with a 3 month minimum contract period. Directory listings are charged for on an annual subscriptions basis.

·      China Quotes shall invoice the Customer within 2 Business Days of the date of the Acceptance Notice. The Customer shall pay their invoice in full within 15 days from the date of the invoice.
 

4.    Licence

The Customer hereby grants China Quotes a world-wide, non-exclusive, royalty-free licence to reproduce and display any information provided by the Customer to China Quotes for the purpose of providing the Services in accordance with this Agreement. 
 
5.    Customer's Warranties
The Customer undertakes and warrants that:

·      it has full authority to enter into this Agreement and will maintain such authority throughout the Term;

·      it owns or will prior to delivery of the Content to The Company have obtained all rights, consents, licenses, clearances and waivers in or in relation to the Content (and all material contained therein) which are necessary to enable The Company to include the Content in, and make the Content available by means of The Company Systems;

·      neither the exercise by The Company of any of the rights in and to the Content granted to it by the Content Provider under this Agreement nor the Content (or any part thereof) as delivered by the Content Provider to The Company under this Agreement will be obscene or breach any law or regulation or infringe any right(s) of copyright, performing right or other proprietary right or interest of any third party or constitute a breach of confidence or be defamatory of any person; and

·      the Content shall be free of any Virus.

6.    Intellectual Property Rights

·      China Quotes acknowledges that all copyright and other Intellectual Property Rights in the Content developed pursuant to this Agreement shall belong to China Quotes and the customer shall not acquire or claim any title to such rights under or by virtue of this Agreement.

7.    Limitation of Liability

·      China Quotes’ liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising out of our breach of these Terms and Conditions shall be limited to the value of a User’s current subscription. For all other direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Web Site or any information contained therein, to the maximum extent permitted by law, China Quotes accepts no liability. Users should be aware that they use the Web Site and its Content at their own risk.

·      Nothing in these terms and conditions excludes or restricts China Quotes’ liability for death or personal injury resulting from any negligence or fraud on the part of China Quotes

8.          Indemnity

The Content Provider agrees to indemnify and keep indemnified The Company and each of its Affiliates (including their respective officers, directors, employees, successors and assigns) against any loss, damage, cost or expense (including reasonable legal fees and expenses) suffered or incurred as a result of any claim by any third party which arises out of:

·      a breach of any of its obligations under this Agreement by the Content Provider or any of the warranties on the part of the Content Provider contained in this Agreement; and

·      an alleged infringement of a third party’s intellectual property rights.

9.          Service access

·      The Service is provided “as is” and on an “as available” basis. We give no warranty that the Service will be free of defects and / or faults. To the maximum extent permitted by the law we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.

·      China Quotes accepts no liability for any disruption or non-availability of the Web Site resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.

·      In the event that the China Quotes site is not available in any country due to external causes (as defined above) customers will not be eligible for a refund (unless they are entitled to a refund under our standard refunds policy).

10.       General Provisions

These Terms and Conditions cannot be varied except in writing by China Quotes.

Failure by either party to insist upon strict performance of any provision of these Terms and Conditions, or the failure of either party to exercise any right or remedy to which it is entitled under these Terms and Conditions shall not constitute a waiver of that right or remedy and shall not cause a diminution of the obligations established under these Terms and Conditions.

These terms and conditions are exclusively governed by Chinese law and the parties hereby submit to the exclusive jurisdiction of the Chinese courts.
